5. ARTIFICIAL INTELLIGENCE LIMITATIONS
Some Avren Services use artificial intelligence.
Artificial intelligence can misunderstand statements, produce inaccurate information, fail to recognize context, incorrectly classify information, create incorrect summaries, schedule appointments incorrectly, or otherwise produce unexpected outputs.
Customers are responsible for determining whether AI-generated information is appropriate for their use.
Avren should not be used as the sole decision-maker for matters involving emergency services, medical diagnosis, legal advice, financial advice, safety-critical decisions, or other high-risk activities unless expressly approved by Avren in writing.
The Customer is responsible for appropriately reviewing information generated through the Services when human review is reasonably necessary.
6. TELEPHONE CALLS, RECORDING, AND TRANSCRIPTION
Depending on configuration, Avren Services may answer, route, record, monitor, transcribe, summarize, or otherwise process telephone calls and communications.

8. THIRD-PARTY SERVICES
Avren may integrate with third parties including telecommunications providers, calendar systems, payment processors, CRM systems, website platforms, hosting companies, email providers, AI providers, analytics services, domain registrars, and other technology companies.
Third-party services may experience downtime, discontinue features, modify APIs, change prices, impose limits, or suspend access.
Avren is not responsible for failures caused primarily by third-party systems beyond Avren's reasonable control.
Use of third-party services may also be subject to that provider's separate terms.
9. CUSTOMER ACCOUNTS
You are responsible for:
-
maintaining accurate account information;
-
maintaining the confidentiality of passwords;
-
protecting authentication credentials;
-
controlling access to your organization;
-

You are responsible for activity performed through your account unless caused directly by Avren's intentional misconduct.
You may not sell, transfer, sublicense, or provide unauthorized access to an Avren account.
10. CUSTOMER DATA
As between Avren and Customer, Customer retains ownership of Customer information, business data, customer information, contacts, calendars, recordings, and other material submitted to Avren, except for Avren-owned technology and materials.
Customer grants Avren a limited license to host, process, transmit, analyze, transform, store, reproduce, and otherwise use Customer Data as reasonably necessary to:
-
provide the Services;

maintain the Services;
-
secure the Services;
-
troubleshoot problems;
-
provide support;
-
prevent fraud and abuse;
-
satisfy legal requirements; and
-
improve Services where legally permitted and consistent with Avren's Privacy Policy.
Customer represents that it has the legal right to provide Customer Data to Avren for these purposes.
11. CONFIDENTIALITY
Avren and Customer may receive confidential information from one another.
Each party agrees to use reasonable safeguards to protect confidential information and not disclose it except:
-
as required to perform the Services;
-
to professional advisers or service providers subject to confidentiality obligations;
-
with permission of the disclosing party; or
-
where required by law.
Confidential information does not include information independently developed, lawfully obtained from another source, publicly available without breach, or previously known without confidentiality restrictions.
12. ACCEPTABLE USE
You may not use Avren to:
-
violate any law;
-
impersonate another person without authorization;
-
commit fraud;
-
mislead consumers;

transmit malware;
-
compromise another system;

-
reverse engineer protected portions of Avren software except where legally permitted;
-

Avren may investigate suspected violations.
13. PRICING AND PAYMENT
Prices may be established through an Order Form, proposal, online checkout, invoice, subscription, or negotiated agreement.
Unless otherwise stated:
-
charges are in U.S. dollars;
-
fees are due according to the applicable invoice or checkout terms;
-
recurring subscriptions renew according to the applicable billing cycle;
-
usage-based costs may be billed separately;
-
taxes may be added where legally required.
You authorize Avren and its payment providers to process authorized charges.
14. LATE OR FAILED PAYMENT
Avren may suspend Services for overdue balances after providing any notice required under the applicable agreement or law.
Customer remains responsible for undisputed amounts owed before suspension or termination.
Avren may recover reasonable collection expenses where permitted by law.
15. REFUNDS
Unless an Order Form, written guarantee, or mandatory law provides otherwise, fees paid to Avren are non-refundable once the applicable Service has been provided, provisioned, customized, or commenced.
Avren may issue credits or refunds at its discretion without creating an obligation to provide similar relief in another case.
Nothing in this section eliminates rights that cannot legally be waived.
16. CHARGEBACKS
Customers should contact Avren at info@avrenai.com before initiating a chargeback so that billing disputes can be investigated.
Fraudulent or knowingly false chargeback claims constitute a breach of these Terms.
Avren reserves the right to suspend Services during a payment dispute.
17. INTELLECTUAL PROPERTY
Avren retains all rights in its:
-
software;
-
dashboards;
-
interfaces;
-
automation systems;
-
prompts;
-
workflows;
-
designs;
-
templates;
-
documentation;
-
branding;
-
trademarks;
-
trade secrets;
-
source code;
-
proprietary processes; and
-
other Avren-created technology.
Except where expressly agreed, purchasing Services does not transfer ownership of Avren's underlying technology.
For custom website or creative work, ownership and licensing terms may be defined in the applicable Order Form.
18. FEEDBACK
If you voluntarily provide feedback or suggestions regarding Avren, you grant Avren a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without compensation or attribution, provided Avren does not publicly identify you as the source without permission.
19. SUSPENSION
Avren may suspend Services where reasonably necessary because of:
-
nonpayment;
-
fraud;
-
security threats;
-
illegal activity;
-
material violation of these Terms;
-
abuse of telecommunications services;
-
third-party provider requirements;
-
legal orders; or
-
substantial risk to Avren or other users.
Where practical, Avren will attempt to provide notice and an opportunity to correct the issue.
20. TERMINATION
Either party may terminate Services in accordance with the applicable Order Form or subscription terms.
Avren may terminate immediately for serious illegal activity, fraud, security abuse, intentional misuse, or material breach that cannot reasonably be cured.
Termination does not eliminate payment obligations incurred before termination.
Provisions that by their nature should survive termination—including confidentiality, intellectual property, indemnification, limitation of liability, dispute resolution, and accrued payment obligations—survive.
21. SERVICE AVAILABILITY
Avren seeks to provide reliable Services but does not warrant uninterrupted or error-free operation.
Maintenance, outages, telecommunications failures, cyberattacks, force majeure events, third-party outages, internet failures, provider restrictions, and other events may temporarily affect availability.
22. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
AVREN DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.
23. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVREN AND ITS MEMBERS, MANAGERS, OFFICERS, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVREN'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
-
THE AMOUNT ACTUALLY PAID BY CUSTOMER TO AVREN FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR
-
$500.
These limitations do not apply where applicable law prohibits such limitation.
24. CUSTOMER INDEMNIFICATION
To the maximum extent permitted by law, Customer agrees to defend, indemnify, and hold harmless Avren AI Investments LLC and its owners, managers, officers, affiliates, contractors, service providers, representatives, successors, and assigns from third-party claims, losses, liabilities, damages, penalties, judgments, and reasonable legal expenses arising from:
-
Customer's unlawful use of the Services;
-
Customer Data;
-
Customer's communications with third parties;
-
Customer's failure to obtain legally required consent;
-
Customer's products or services;
-
Customer's violation of privacy, telemarketing, recording, advertising, or communications laws;
-
infringement caused by materials supplied by Customer;
-
Customer's breach of these Terms; or
-
fraud, misconduct, or negligence by Customer.
Avren may participate in the defense using counsel of its choosing.
25. FORCE MAJEURE
Neither party will be liable for delay caused by events beyond its reasonable control, including natural disasters, government action, widespread internet outages, telecommunications failures, labor disruptions, war, terrorism, civil disorder, epidemics, utility failures, cyberattacks, or failures of critical third-party infrastructure.
This provision does not excuse payment obligations for Services already provided.
26. DISPUTE RESOLUTION AND ARBITRATION
PLEASE READ THIS SECTION CAREFULLY.
Except for qualifying small-claims matters or requests for temporary injunctive relief relating to intellectual property, confidentiality, fraud, unauthorized system access, or misuse of Avren property, disputes arising from these Terms or the Services shall be resolved through binding individual arbitration.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
Before filing arbitration, the complaining party must provide written notice describing the dispute and allow thirty (30) days for a good-faith attempt to resolve it.
If unresolved, arbitration shall be administered by the American Arbitration Association under rules applicable to the dispute.
Unless otherwise agreed, the arbitration shall occur in North Carolina or remotely.
The arbitrator may award any individual remedy available under applicable law.
27. CLASS ACTION WAIVER
TO THE EXTENT PERMITTED BY LAW, EACH PARTY AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY.
Neither party will seek to have a dispute heard as a class action, collective action, representative action, or consolidated proceeding unless applicable law makes this waiver unenforceable.
28. GOVERNING LAW
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except to the extent federal law controls.
Any dispute not subject to arbitration shall be brought in a court of competent jurisdiction located in North Carolina, and each party consents to such jurisdiction and venue.
29. CHANGES TO THESE TERMS
Avren may update these Terms prospectively.
Material changes will be communicated through reasonable means when required.
Changes will not retroactively take away rights already accrued where doing so would be prohibited by law.
Continued use after the effective date of revised Terms constitutes acceptance where legally permitted.
30. ELECTRONIC COMMUNICATIONS
You consent to receive agreements, invoices, notices, disclosures, and other business communications electronically.
Electronic acceptance has the same effect as a physical signature to the extent permitted by law.
31. ASSIGNMENT
Customer may not assign its rights under these Terms without Avren's written consent, except as part of a bona fide merger or sale of substantially all relevant business assets where the successor agrees to these Terms.
Avren may assign these Terms in connection with restructuring, financing, merger, acquisition, or sale of its business or assets.
32. SEVERABILITY
If a provision is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable where permitted, and the remainder will continue in effect.
33. NO WAIVER
Failure to enforce a provision does not waive the right to enforce it later.
34. ENTIRE AGREEMENT
These Terms, the Privacy Policy, and applicable Order Forms constitute the agreement regarding the subject matter covered by them and supersede prior inconsistent discussions regarding that subject matter.
